Cancellation, Return and Refund Guidelines
All Sellers must accept cancellations, returns, refunds and adjustments in accordance with the policies and any terms, conditions, and policies that appear on the Seller’s Product Listing at the time of the applicable order.
Minimum Cancellation, Return, and Refund Policy
Customers who want to cancel orders must do so through the cancellation process offered by AutoMakeup Pvt Ltd, including through the subscription manager on the AutoMakeup Pvt Ltd Site. You must clearly disclose this requirement to customers and provide for such customers to be re-directed to AutoMakeup Pvt Ltd‘s subscription manager. You may not directly interact with a customer to cancel a Transaction or otherwise process a cancellation, refund or return for a Product, except as is necessary to re-direct such customer from your website or application to AutoMakeup Pvt Ltd‘s subscription manager.
If a customer contacts us with respect to your Product, we may issue refunds as a service to you in accordance with our usual business practices. For each refund that we issue, you will grant us a credit in an amount equal to your portion of the Sales Revenue for the applicable Transactions. If a customer contacts you with respect to your Product and seeks a refund or other adjustment, you will refer such customer to AutoMakeup Pvt Ltd, and you authorize AutoMakeup Pvt Ltd to, on your behalf, determine and calculate the amount of all refunds and adjustments (including any taxes or other charges) or other amounts to be paid by you to such customers. All payments to customers in connection with your Transactions will be routed through AutoMakeup Pvt Ltd or its designated Affiliate. AutoMakeup Pvt Ltd or its designated Affiliate will provide the refund payments to the applicable customer (which may be in the same payment form originally used to purchase your Product). AutoMakeup Pvt Ltd may deduct all amounts refunded from the Sales Revenue prior to transmission to you or otherwise seek reimbursement from you for all refunds.
Customer Claims and Disputes
If we inform you that we have received a claim, chargeback or other dispute concerning one of your Transactions, you will deliver any reasonable information we request to confirm you fulfilled the Transaction in accordance with the Subscribe with AutoMakeup Pvt Ltd Program Agreement. If you fail to comply with the prior sentence, or failed to comply with the Subscribe with AutoMakeup Pvt Ltd Program Agreement, or if the claim chargeback, or dispute is not caused by (i) our failure to make your Order Information available as it was received by us or (ii) credit card fraud as described in the Payments Guidelines, then you will promptly reimburse us for the amount of the customer purchase (including the Purchase Price and any taxes ) and all associated credit card association, bank or other payment processing, re-presentment and penalty fees associated with the original purchase and any chargeback or refund, in each case to the extent paid or payable by us or our Affiliates.
We may require that you establish a separate reserve account to secure the performance of your obligations, in an amount determined by us in our sole discretion. Without limiting the foregoing, we may require a reserve account if you have a high rate of chargebacks, refunds, or other indicia of performance problems related to your use of the Subscribe with AutoMakeup Pvt Ltd Program. Any reserves will be subject to the terms with respect to Transaction Processing Services.
Payments Guidelines and Transaction Processing Services
For each Transaction, AutoMakeup Pvt Ltd, (“AutoMakeup Pvt Ltd“), will retain a “Referral Fee” equal to the applicable AutoMakeup Pvt Ltd Referral Fee Percentage of your Sales Revenue.
The AutoMakeup Pvt Ltd Referral Fee Percentage for New Customers and Renewals is 25%.
As payment in full for any Transactions, AutoMakeup Pvt Ltd, or AutoMakeup, will remit to you all Sales Revenue received during a month within 30 days after the end of that month, less: (a) Referral Fees due and (b) any amounts refunded to customers and not previously deducted from Sales Revenue. AutoMakeup Pvt Ltd does not guarantee payment on behalf of any customers. AutoMakeup Pvt Ltd, or AutoMakeup‘, obligation to remit funds collected by it on your behalf is limited to funds that have actually been received by AutoMakeup Pvt Ltd or AutoMakeupless amounts owed to AutoMakeup Pvt Ltd, subject to chargeback, reversal or withheld for anticipated claims in accordance with this Agreement. Without limiting AutoMakeup Pvt Ltd‘s rights to collect any amounts you owe, AutoMakeup Pvt Ltd or AutoMakeup‘ receipt of Sales Revenue discharges your obligation to pay applicable fees and other amounts under this Agreement to the extent the Sales Revenue equals or exceeds the fees and other amounts you owe and the Sales Revenue is applied to the payment of those fees and amounts.
Credit Card Re-Tries and Grace Period
If we are initially unsuccessful in charging a customer’s payment instrument to complete a Transaction, we may make additional attempts to complete the charge and grant customers a grace period to permit them to update their payment information or instrument. You will continue to provide access to the Product during any grace period. We will notify you at the end of the grace period if we have been unable to successfully process the Transaction so that you can terminate access to the Product.
Risk of Fraud or Loss
You will bear all risk of fraud or loss, including the risk of chargebacks or credit card fraud associated with the sale of your Products. If we receive a chargeback or determine a payment related to a Transaction was a result of fraud, then you will promptly reimburse us for the total amount of any applicable Sales Revenue previously paid to you, as well as all credit card association, bank or other payment processing, re-presentment and/or penalty fees associated with the original Transaction. We may in our sole discretion withhold for investigation, refuse to process, stop or cancel any of your Transactions. You will stop or cancel orders of your Products if we ask you to do so. You will refund (or authorize AutoMakeup Pvt Ltd to refund on your behalf) any customer that has been charged for an order that we stop or cancel.
Your Sales Revenue will be held in a Seller Account with AutoMakeup Pvt Ltd or AutoMakeupand will represent an unsecured claim against AutoMakeup Pvt Ltd or AutoMakeup, respectively. Your Sales Revenue are not insured by the Federal Deposit Insurance Corporation. Prior to disbursing funds to you, AutoMakeup Pvt Ltd or AutoMakeupmay combine Sales Revenue held with the funds of other users, invest them, or use them for other purposes permitted by applicable Laws . You will not receive interest or any other earnings on any Sales Revenue. To the extent required by applicable Laws , AutoMakeup Pvt Ltd or AutoMakeupwill not use any funds held on your behalf for its corporate purposes, will not voluntarily make the funds available to its creditors in the event of bankruptcy or for any other purpose, and will not knowingly permit its creditors to attach those funds.
If there is no activity (as determined by AutoMakeup Pvt Ltd or AutoMakeup) in connection with your Seller Account for the period of time set forth in applicable unclaimed property Laws and AutoMakeup Pvt Ltd or AutoMakeupholds Sales Revenue on your behalf, you will be notified (in whatever manner AutoMakeup Pvt Ltd or AutoMakeup) and provide you the option of keeping your Seller Account open and maintaining the Sales Revenue in your Seller Account. If you do not respond to the notice(s) within the time period specified therein, the Sales Revenue in your Seller Account will be sent to your state of residency, as determined based on the information in your Seller Account. If AutoMakeup Pvt Ltd, or AutoMakeup, is unable to determine your state of residency or your Seller Account is associated with a foreign country, your funds may be sent to the Automakeup Bangalore
